1.About these Terms
These Terms and Conditions (“Terms”) govern your access to and use of the QuantX platform, website, mobile application and related services (together, the “Service”) provided by QUANTX SDN. BHD. (SSM No. 202601019058), a company incorporated in Malaysia (“QuantX”, “we”, “us” or “our”).
In these Terms, “you” and “Client” mean the business that subscribes to the Service, and include every person that business authorises to use it (“Authorised Users”).
You accept these Terms when you sign in to the Service, accept a quotation from us, pay an invoice we issue, or otherwise use the Service. If you accept on behalf of a business, you confirm that you have authority to bind that business.
The plan, fees and any special conditions of your subscription are set out in the quotation or invoice we issue to you (the “Order”). If the Order conflicts with these Terms, the Order applies only to the plan, fees and term it states; these Terms apply to everything else.
These Terms incorporate our Privacy Policy, Refund Policy and Coupon Policy.
You confirm that you acquire the Service for the purposes of a business, and not as a consumer.
2.The Service
The Service helps businesses automate bookkeeping. Depending on your plan and Order, it may include capturing documents; extracting data from invoices, receipts and bank statements; preparing entries for your review; posting approved entries to supported accounting software; submitting e-Invoices; and providing reports and insights.
We may improve, change or remove features from time to time. We will not materially reduce the core functionality of your paid plan during a term you have already paid for.
We may offer early-access or beta features. They are provided as they are, may change or be withdrawn at any time, and are not covered by any commitment in these Terms.
3.Accounts and access
You sign in to the Service using the methods we support, such as Google sign-in. You are responsible for:
- deciding who your Authorised Users are and what role each one has;
- keeping sign-in credentials secure and not sharing accounts;
- all activity under your accounts, whether or not you authorised it; and
- telling us promptly at hello@quantx.tech if you suspect unauthorised access.
We may suspend any account to protect the security of the Service or of other clients.
4.Your responsibilities
You must:
- provide documents and information that are accurate, complete and lawfully obtained, and that you have the right to give us, including any personal data of other people they contain;
- review and approve every document, entry and e-Invoice before it is submitted or posted to your accounting software or to any authority;
- remain responsible for your accounting records, financial statements, tax filings, e-Invoicing and all other statutory obligations;
- keep your own backups of your accounting software and data;
- hold valid licences for any third-party software you connect, such as AutoCount, and pay their fees; and
- give us the access, information and cooperation we reasonably need to provide the Service.
You must not:
- use the Service for any unlawful, fraudulent or misleading purpose;
- upload malicious code, or attempt to disrupt, probe or gain unauthorised access to the Service or its infrastructure;
- copy, modify, reverse engineer or create derivative works from the Service;
- resell, sublicense or provide the Service to others without our written consent; or
- use the Service to build a competing product.
5.Automated and AI-assisted processing
The Service uses automated systems, including artificial intelligence, to read documents and suggest accounting entries. Automated output can be wrong, incomplete or misclassified — for example, a misread amount, date, tax code, supplier or item.
Unless your Order expressly says otherwise, QuantX does not manually check automated output. You must review it before relying on it, and you are responsible for every entry you approve, submit or post.
6.No professional advice
Reports, analyses, insights, and any tax, HR or business guidance provided through the Service are general information to help you make your own decisions. They are not accounting, audit, legal or tax advice tailored to your circumstances. You should obtain advice from qualified professionals before acting on them.
Unless we have agreed otherwise in a separate written engagement, QuantX does not act as your tax agent, does not prepare or submit tax returns on your behalf, and is not responsible for any tax assessment, penalty, surcharge or audit outcome.
7.Third-party services
The Service works with, and depends on, services provided by others, including accounting software providers (such as AutoCount), cloud and AI service providers (such as Google), LHDN’s MyInvois system, banks, and messaging platforms (such as WhatsApp and Telegram).
Those services are governed by their own terms. We are not responsible for their availability, performance, changes, errors or loss of data. If a third party changes or withdraws a service that the Service relies on, we may change the Service accordingly, and that change is not a failure by QuantX to provide the Service.
8.Fees and payment
Plans and billing
Fees are set out in your Order. We offer monthly and annual plans:
- Annual plans are billed in full, in advance, for each 12-month term.
- Monthly plans are billed in advance for each billing month.
- Setup, onboarding, data migration, training and customisation fees are billed in advance, as quoted.
Payment
Invoices are payable in Malaysian Ringgit within seven (7) days of the invoice date unless your Order states otherwise. Fees exclude taxes, including service tax, which we add where applicable. You bear all bank and transfer charges.
Usage and scope
Fees are quoted on the document volume and scope you describe to us. If your actual usage materially exceeds that volume or scope, we may, after notifying you, charge additional fees or move you to a suitable plan.
Late payment
If any amount is unpaid after its due date, we may:
- charge interest on the overdue amount at eight percent (8%) per year from the due date until paid in full;
- suspend the Service, after notifying you by email, until all overdue amounts are paid; and
- recover our reasonable costs of collection from you, including legal fees.
Suspension does not change your obligation to pay the fees for your term.
Price changes
Subject to “Usage and scope” above, fees are fixed for a term you have paid for. We may change the fees for any renewal term by notifying you at least thirty (30) days before that term begins.
Fees are non-refundable except as set out in our Refund Policy.
9.Term, renewal and cancellation
Annual plans
An annual plan runs for 12 months from its start date and renews automatically for further 12-month terms at our then-current fees, unless you give us written notice of non-renewal at least thirty (30) days before the current term ends.
We will usually send a reminder before your renewal date. Not receiving a reminder does not stop a renewal or change your obligation to pay for it.
Monthly plans
A monthly plan renews automatically each billing month until cancelled. You may cancel by giving at least thirty (30) days’ written notice; cancellation takes effect at the end of the billing month in which that notice period ends.
Cancelling during a term
If you stop using the Service or cancel before a term ends, you remain liable for the fees for that whole term, and your access continues until the term ends. Refunds are available only as set out in our Refund Policy.
Written notice must be sent by email to hello@quantx.tech and is treated as given when we receive it.
10.Suspension and termination
Suspension
We may suspend your access to the Service:
- by email notice, once any amount is unpaid after its due date, until all overdue amounts are paid (see Fees and payment);
- by notice, if you breach these Terms, until the breach is remedied; or
- immediately and without notice, if we reasonably believe your use of the Service is unlawful or fraudulent, or puts the security of the Service or of other clients at risk.
Termination
We may terminate your access to the Service, with immediate effect by notice to you, if:
- you breach these Terms and, where the breach can be remedied, do not remedy it within fourteen (14) days of our notice;
- any amount remains unpaid fourteen (14) days after its due date;
- we reasonably believe your use of the Service is unlawful or fraudulent, or puts the security of the Service or of other clients at risk; or
- you become insolvent, enter liquidation or receivership, make any arrangement with your creditors, or stop carrying on business.
If we terminate for any of these reasons, no fees are refunded, and all fees for the remainder of the current term become immediately due.
We may also end the Service for any other reason by giving you at least thirty (30) days’ notice. In that case we will refund the fees you have paid for whole months after the end date, as described in our Refund Policy.
11.Your data
You own the documents and data you upload to the Service (“Client Data”). You grant QuantX a non-exclusive licence to host, copy, process, transmit and display Client Data as needed to provide, secure, support and improve the Service, and to comply with law.
We may create de-identified and aggregated data from the use of the Service and use it to operate and improve the Service, including the accuracy of automated extraction and matching. We will not sell Client Data, or disclose it in a form that identifies you, except as described in our Privacy Policy or as required by law.
For personal data contained in Client Data, you are the data user under the Personal Data Protection Act 2010, and QuantX processes that data on your behalf. You confirm that you have given every notice and obtained every consent needed for us to do so. How we handle personal data is described in our Privacy Policy.
When your subscription ends, you may ask us, within thirty (30) days, to export your Client Data in the format we ordinarily provide. After that period we may delete Client Data without further notice, except where the law requires us to keep it. We may charge for export work beyond our standard format.
The Service is not a backup service. You are responsible for keeping your own copies of Client Data and of your accounting records.
12.Confidentiality
Each party will keep confidential the other’s non-public business, technical and financial information received in connection with the Service; use it only for the purposes of these Terms; and disclose it only to employees, contractors and advisers who need to know it and are bound by similar obligations.
This does not apply to information that is or becomes public without a breach of these Terms, was already lawfully known to the receiving party, is independently developed, or must be disclosed by law or by order of a court or authority. These obligations continue after the Service ends.
13.Intellectual property
QuantX and its licensors own all rights in the Service, including its software, models, workflows, templates, designs, documentation and every improvement to them. We grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription.
If you give us suggestions or feedback, we may use them freely and without any obligation to you.
14.Disclaimer of warranties
The Service is provided “as is” and “as available”. We do not warrant that it will be uninterrupted, error-free or free of harmful components, or that automated output will be accurate or complete. We may carry out scheduled or emergency maintenance.
To the maximum extent permitted by law, all conditions, warranties and terms implied by statute, common law or otherwise are excluded.
15.Limitation of liability
To the maximum extent permitted by law, QuantX is not liable to you, whether in contract, tort (including negligence) or otherwise, for:
- any indirect, incidental, special or consequential loss;
- loss of profit, revenue, business, goodwill or anticipated savings;
- loss or corruption of data;
- any tax, penalty, surcharge, interest or fine imposed by LHDN or any other authority;
- any error in an entry, document or e-Invoice that you or your Authorised Users approved, submitted or posted; or
- any failure or act of a third-party service.
QuantX’s total liability arising out of or in connection with the Service and these Terms is limited to the subscription fees you paid for the three (3) months immediately before the event giving rise to the claim. For an annual plan, that is one quarter of the annual subscription fee for the term in which the event occurred.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law, including liability for fraud.
16.Indemnity
You will indemnify QuantX and its directors, employees and contractors against all claims, losses, liabilities, costs and expenses (including reasonable legal fees) arising from:
- Client Data, including any claim that it infringes another person’s rights or was provided without a lawful basis;
- a breach of these Terms by you or your Authorised Users; or
- your use of the Service in breach of any law.
17.Changes to these Terms
We may update these Terms, and the Refund Policy and Coupon Policy they incorporate, from time to time. We will publish the updated version on its page and change the “Last updated” date. For material changes, we will notify you at least fourteen (14) days in advance by email or within the Service.
If you continue to use the Service after a change takes effect, you accept the change. If you do not accept them, you may give notice of non-renewal; a change does not entitle you to a refund for your current term.
18.General
- Governing law and jurisdiction. These Terms are governed by the laws of Malaysia. You submit to the jurisdiction of the courts of Malaysia sitting in Johor Bahru. QuantX may also bring proceedings in any other court of competent jurisdiction.
- Force majeure. QuantX is not liable for any delay or failure caused by events beyond its reasonable control, including outages of third-party services, internet or power failures, natural disasters, epidemics and acts of government.
- Assignment. You may not assign or transfer these Terms without our written consent. We may assign these Terms or subcontract any part of the Service.
- Entire agreement. These Terms, the Order and the policies they incorporate are the entire agreement between us about the Service, and replace any earlier discussions or representations.
- Severability. If any provision is found invalid or unenforceable, the rest continue in effect.
- No waiver. A delay or failure to exercise a right is not a waiver of that right.
- Notices. We may give notices by email to the address associated with your account, or within the Service.
- Language. If these Terms are translated, the English version prevails.
- Survival. Provisions that by their nature should survive the end of the Service — including fees owed, Your data, Confidentiality, Intellectual property, Limitation of liability and Indemnity — continue after it ends.
